TERMS OF TRADE (DIRECT & WHOLESALE TRADE BILLING)
Terms of Trade
1. Application & Incorporation
These Terms of Trade apply to all sales of goods and services by E Built NZ Limited to retail (direct-to-public) customers and approved wholesale trade account holders. Placing an order or accepting delivery of goods constitutes acceptance of these Terms.
2. Pricing & GST
All prices displayed on our website are in New Zealand Dollars (NZD). Unless explicitly stated otherwise, prices exclude Goods and Services Tax (GST), which will be calculated and added at checkout or on your trade invoice. We reserve the right to modify prices at any time prior to order acceptance due to cost variations beyond our control (e.g., foreign exchange movements, raw material or international freight increases).
3. Direct / Retail Purchases (Cash Sales)
For direct online retail orders and customers without an established credit facility:
Full payment (including applicable freight charges) must be made and cleared prior to order dispatch or product release.
Accepted payment methods include credit card (Visa, Mastercard), debit card, or approved direct online bank transfer.
4. Wholesale Trade Credit Facilities & Monthly Billing
For commercial builders, roofers, and trade merchants applying for or operating a wholesale credit account:
Account Approval: Credit facilities are granted at the sole discretion of EBuilt management following completion of a Credit Application Form and verification of trade references.
Initial Orders / Progression: The first two orders on any new credit account must be paid in full prior to dispatch (treated under cash sale conditions). Where a customer has already completed two cash transactions, trade credit terms commence upon account approval.
Standard Payment Terms: Once an account is established, payment is strictly due 15 days following the date of invoice, with an initial standard credit limit of $1,500.
End-of-Month (20th/EOM) Billing Cycles: For trade customers operating on a monthly payment cycle, payment is strictly due within the same calendar month in which the product was supplied (not the following month).
Credit Limits: A maximum credit limit of $6,000 applies to smaller building and roofing companies unless otherwise agreed in writing. Credit limits may be reviewed or adjusted based on payment history.
Default & Interest: Overdue invoices accrue interest daily from the due date until paid, at a rate of 2.5% per calendar month. The customer agrees to indemnify EBuilt for all debt collection costs, legal fees (on a solicitor-client basis), and administrative expenses incurred in recovering overdue accounts.
5. Title & Personal Property Securities Act 1999 (PPSA)
Ownership and title in all goods remain with E Built NZ Limited until full payment of all outstanding monies owed has been received. Risk in the goods passes to the customer upon delivery. Assenting to these terms creates a security interest in favor of EBuilt under the PPSA over all supplied goods and their proceeds.
6. Commercial Contracting Out (Consumer Guarantees Act 1993)
Where goods are acquired by a customer for the purposes of a business, trade, or commercial construction project, the provisions of the Consumer Guarantees Act 1993 (CGA) do not apply, as permitted under Section 43 of the CGA.
